The Registrant is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2023 (the “Report”) by the prescribed date of August 14, 2023, without unreasonable effort or expense because the Registrant needs additional time to complete certain disclosures and analyses to be included in the Report. In accordance with Rule 12b-25 promulgated under the Securities Exchange Act of 1934, as amended, the Registrant intends to file the Report on or prior to the fifth calendar day following the prescribed due date.

The Company expects that a significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in its Quarterly Report on Form 10-Q for the quarter ended June 30, 2023, including a decrease in revenue of greater than 15% attributable to a smaller number of animation projects currently in production as compared to the prior year period; an increase in gross profit of greater than 15% attributable to improved contract margins in our animation business and lower fixed overhead expenses being absorbed against reduced revenue levels; an increase in operating expenses of greater than 15% attributable to an increase in development costs associated with our mobile app and original content properties; and a decrease in other expenses and net loss of greater than 25%, attributable to a decrease in interest expense realized from the recording of a derivative liability and the amortization and write off of debt discounts on convertible notes due to conversions.
