(“CAH”) and LumiraDx Limited, an exempted company with limited liability
incorporated under the laws of the Cayman Islands (“LumiraDx”) in
presentations to certain of their securityholders and other persons regarding the proposed business combination.
On September 7, 2021, CAH issued a press release announcing that they have filed a definitive proxy statement/prospectus related to the
proposed business combination and mailed that proxy statement/prospectus to its shareholders. The press release is furnished herewith
as Exhibit 99.2 and incorporated by reference herein.

connection with the proposed business combination, LumiraDx has filed with the Securities and Exchange Commission (“SEC”)
a registration Statement on Form F-4 in connection with the proposed business combination (the “Registration Statement”)
containing a preliminary proxy statement of CAH and a preliminary prospectus of LumiraDx, which the SEC has declared effective. On September
3, 2021, CAH filed a definitive proxy statement/prospectus relating to the proposed business combination and mailed that definitive proxy
statement/prospectus to its shareholders. This Current Report on Form 8-K does not contain all the information that should be considered
concerning the proposed business combination and is not intended to form the basis of any investment decision or any other decision in
