Explanation of Responses:
( 1)  These shares were surrendered to the Issuer to satisfy federal and state withholding liabilities.
( 2)  Includes shares held by Mr. Costello in his 401K Retirement Account and shares purchased through participation in the Employee Stock Purchase Program.
( 3)  The number of securities owned reflects a decrease from the August 2009 filing because, due to administrative error, a vest of Performance Stock Units was recorded at 100 percent when only 33 percent should have been recorded.
( 4)  These shares were sold pursuent to Mr. Costello's 10b5-1 Plan.
( 5)  Each performance right represents a contingent right to receive one share of Ariba Common Stock. The performance right vests upon attainment of goals related to subscription software revenues during fiscal year 2009.
