1.01. Entry into a Material Definitive Agreement.
On
January 24, 2022, Alset EHome International Inc. (the “Company”) entered into a stock purchase agreement with Heng Fai
Ambrose Chan, its Chairman, Chief Executive Officer and largest shareholder (the “Chan Agreement”), pursuant to which
the Company agreed to issue to Mr. Chan 35,012,120 shares of the Company’s common stock (the “Alset Shares”) for a
purchase price of $0.3713 per share. If required by the rules and regulations of the Nasdaq Stock Market LLC (“Nasdaq”), the issuance of the
Alset Shares will be subject to the approval of the Company’s shareholders. The
foregoing summary of the Agreement is qualified in its entirety by reference to the Chan Agreement attached hereto as Exhibit 10.1
and which is incorporated herein by reference.
