Acquisition and Board Changes

WTH  announces  that it has today conditionally acquired the whole of the share
capital and the �974,000  of  outstanding loan stock in LeisureHunt.com Limited
("LeisureHunt").

LeisureHunt is a significant online  hotel  booking  agency, with a database of
over  100,000  hotel  properties worldwide and distribution  partnerships  with
leading UK portals and  search engines including AOL, Ask Jeeves and InfoSpace.
The consideration for the  acquisition  is the issue of 70 million new ordinary
shares in WTH which will rank pari passu  in  all  respects  with  the existing
ordinary shares.

In  the  year  to  30  September  2001 LeisureHunt had gross bookings of �2.9m,
turnover of �0.26m, made losses before taxation of �1.48m and had net assets of
�0.3m as at that date.

The directors intend to merge the operations  of  LeisureHunt with those of the
Company   and   believe  that  this  will  provide  incremental   cross-selling
opportunities and  cost  savings  which will enable the combined business to be
more certain of achieving its goal of profitability in 2003.

Tony Prior, the chief executive of  LeisureHunt has been appointed to the board
of  the  Company  as  group marketing director  and  Richard  Hargreaves,  non-
executive Chairman of LeisureHunt,  who  is  also  a  director  of Classic Fund
Management  Limited,  will  join  the  board  of the company as a non-executive
director.

The acquisition is conditional upon the admission of the shares to be issued to
the vendors of LeisureHunt (the "Consideration  Shares")  to  trading  on  AIM.
Applications for admission to trading on AIM in respect of these shares will be
made  today.  The Consideration Shares are to be held, save for certain limited
exceptions, by the Sellers for a minimum of six months. 

Etienne  de Villiers has resigned as a non-executive director of the Company in
order to focus  on  his  other  business  activities.  John  Deacon,  executive
director,  has  also  resigned  from  the Board in order to resume his academic
career.   The  Board  would like to thank  both  Etienne  and  John  for  their
contribution to the Group and wishes them well for the future.

The Company is exploring  a  number  of  opportunities to increase the range of
travel  services that it supplies, increase  the  volume  and  the  margins  it
achieves and to add to the critical mass of the business.

Commenting on the acquisition, John Biles, Chairman of WTH said "We are pleased

have a portfolio  of  brands  that  will  allow  us to accelerate growth from a
compact cost base."
