          Waterline Group plc (the "Company") - Potential Offer Update

Woburn Ventures Limited ("Woburn") notes the announcement released on 20
November 2007 by the independent members of the Waterline Board (the 
"Independent Directors") that discussions with a third party have terminated and
that no offer will be made from that party for the entire issued and to be
issued share capital of the Company. Woburn also notes that the Independent
Directors are considering what options are available to the Company to maintain
the best interests of shareholders.

Woburn is itself considering what options are available to it, in the light of
this announcement, with regard to a possible offer for the Company, however it
would only proceed with a proposal with the recommendation of the Independent
Directors. This pre-condition must be satisfied before an offer can be made.

This announcement does not amount to a firm intention to make an offer, and
accordingly there can be no certainty that any offer will be made even if the
pre-condition is satisfied.
