World Travel Holdings plc ("WTH" or the "Company")

Further issues of shares

Under the terms of the acquisition of Netfaresonline.com, Inc. ("NFO"),
announced on 19 February 2001, WTH's subsidiary, 3053787 Nova Scotia Limited,
issued 2,725,414 exchangeable shares to the vendors as initial consideration for
the acquisition.  Each of such shares was issued with the right to be exchanged,
at the election of the holder, into one new Ordinary Share of 1p each in WTH ("
Ordinary Shares").  Elections to effect such exchanges have been received in
respect of 1,362,707 of such exchangeable shares and the relevant new Ordinary
Shares have now been allotted.

In addition to the above exercise of exchange rights, the Company has allotted a
further 14,032 new Ordinary Shares in consideration of the acquisition of a
further 250 ordinary shares of 10p each in Deckchair.com Holdings Limited.  WTH
now owns 96.1 per cent. of the issued ordinary share capital of Deckchair.com
Holdings Limited.

Application has been made for all of the above new Ordinary Shares to be
admitted to trading on the Alternative Investment Market of the London Stock
Exchange and it is expected that dealings in the new shares will commence at
8.00 a.m. on Monday, 4 February 2002.

The number of issued Ordinary Shares in the Company following the issue of the
abovementioned new shares is 177,085,428 Ordinary Shares of 1p each.
