Rule 2.10 Announcement and Voting Rights and Capital

In accordance with Rule 2.10 of The City Code on Takeovers and Mergers, the Company announces that as at close of business on 11 April 2013 the Company had in issue 41,047,722 ordinary shares of 2.555556 pence each, with ISIN Number GB00B2NJD643, which carry voting rights of one vote per share. The Company does not currently hold any shares in treasury.

The total number of ordinary shares issued (41,047,722) with ISIN Number GB00B2NJD643 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

In addition, the company has in issue one (1) deferred share of 2.555556 pence issued to Ithaca Energy Holdings (UK) Limited in connection with the scheme of arrangement announced by the Company on 1 March 2013. The following rights are attached to the deferred share:

   i.    No right to attend or vote at any general meeting of the Company

ii. No entitlement to receive a dividend or other distribution or to have any other right to participate in the profits of the company.

iii. On a return of capital or winding up of the Company, the holder is entitled, subject to any payment to the holders of all other classes of shares in accordance with the rights attaching to those shares, to the amount paid up or credited as paid up on the deferred share, but shall have no further right or other right to participate in the assets of the Company.

iv. The deferred share is not liable to be redeemed at the option of the Company or the holder of the deferred share.
