VIGILANT TECHNOLOGY LIMITED ("Vigilant" or the "Company")


Placing of 1,644,917 new Ordinary Shares of NIS 0.01 each (the "Placing Shares")
at 3 pence per share (the "Placing")

Vigilant, a leader in design and manufacturing of intelligent video solutions
for the high end CCTV security and surveillance markets, is pleased to announce
a successful share placing raising approximately #50,000 (the "Placing") before
expenses by way of the issue of 1,644,917 new ordinary shares of NIS 0.01 (the "
Placing Shares").

1,644,917 Placing Shares have been placed by the Company at 3p per share with
Goldrock Capital ("Goldrock"). The net proceeds of the Placing will be used to
provide additional working capital for the Company. The Placing Shares represent
approximately 2.5 per cent of the issued share capital of the Company as
enlarged by the Placing.

The Placing Shares rank pari passu in all respects with the existing Ordinary
Shares, including the right to receive all dividends and other distributions
hereafter declared, made or paid.

Application will be made for the Placing Shares to be admitted to trading on the
AIM Market of the London Stock Exchange ("AIM"). It is expected that dealings in
the Placing Shares will commence on AIM on 14 May 2008.

The Company also announces that Yoram Sagher (Executive Deputy Chairman) and
Ronen Saggir (Director of R&D and Chief Technical Officer) no longer have an
executive role in the Company.
