In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:


Vestpa Plc's capital consists of 370,000,002 ordinary shares of 0.1 pence each.
Vestpa Plc does not hold any ordinary shares in Treasury.


Therefore, the total number of voting rights in Vestpa Plc is 370,000,002.


The above figure (370,000,002) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Vestpa Plc under the FSA's
Disclosure and Transparency Rules.
