| In aggregate, BV Acquisitions has received irrevocable undertakings to vote in favour of the proposed acquisition by BV Acquisitions of the entire issued and to be issued share capital of Vero by means of a scheme of arrangement under section 895 of the Companies Act 2006, in respect of 23,728,037 ordinary shares of 0.5 pence each in the capital of Vero ("Vero Shares"), representing approximately 63.68 per cent. of the existing issued share capital of Vero.
