Results of Elections under the Scrip Dividend Scheme

The Company announces that, pursuant to its scrip dividend scheme (the "Scrip Dividend Alternative"), 141,509 ordinary shares of 10 pence each in the capital of the Company (the "Shares") were today sold out of treasury to shareholders who had elected to participate in the Scrip Dividend Alternative. Electing shareholders will receive Shares instead of cash in respect of the second interim dividend for the year ended 31 December 2014.

Elections pursuant to the scrip dividend scheme were received in respect of 45.20 per cent of the Shares in issue (excluding treasury shares) as at the record date of 13 March 2015. The Shares will rank pari passu with the existing ordinary shares.

Voting Rights and Capital

The Company now has share capital of 24,302,092 ordinary shares with voting rights, of which 2,122,411 shares are held in treasury. Accordingly, the number of voting rights in issue (excluding treasury shares) is now 22,179,681 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
