St James Beach Hotels PLC ("the Company")

The Company wishes to advise that, pursuant to the scrip dividend option
offered to shareholders, certain directors and their trusts have been allotted
ordinary shares in the Company at a price of 169.5p per share on 18 August
1997. The amount of shares allotted, and the relevant directors' interests in
the share capital of the Company, are set out below:
