         COOPERATION BETWEEN TPG AND KINTETSU WORLD EXPRESS

TNT Post Group N.V. (TPG), headquartered in Amsterdam, and the Japanese-owned
company Kintetsu World Express Inc. have established a strategic cooperation to
provide integrated logistic solutions to customers in Europe and Asia, based on
their joint capabilities and expertise in distribution services, logistics and
express. Kintetsu is the third-largest air freight forwarder worldwide. The
company is a global provider of a broad range of logistics and distribution
services with a global network of company-owned facilities. Together, both
companies have a unique opportunity to strengthen their positions in the highly
attractive express and logistics markets in Asia and Europe.

This agreement enables TPG, especially its TNT Asia subsidiary, to benefit from
Kintetsu's strong and longstanding customer base in Japan and Asia and its
global expertise in logistics and distribution services. Kintetsu will benefit
from TNT's Asian and European networks, its global presence and expertise in
Express and Logistics.

Furthermore, both companies intend to explore opportunities to increase their
cooperation in the Japanese domestic express market and to share infrastructure
networks in Asia.

Kintetsu World Express Inc, headquartered in Tokyo, has over 5,000 employees
working in 36 countries. Kintetsu has 123 warehouses, of which 50 are in Japan.
Sales amounted to US$ 2,5 billion in 1998.

TPG, with its two brands PTT Post and TNT, is a global provider of mail, express
and logistics services. It employs more than 100,000 people in 60 countries and
serves over 200 countries. The company had sales of NLG 16.3 billion in 1998.
TPG is publicly listed on the stock exchanges of Amsterdam, New York, London and
Frankfurt.
