Directors Holdings and Related Party Transaction

Following the participation of certain directors in the placing of Ordinary Shares on 31 August and the subsequent admittance to AIM of shares issued in consideration to the vendors of RDS Limited, the Company can clarify the holdings and percentage of total voting rights of directors named below:

The placing of 7,000,000 of Ordinary Shares, at 10 pence per share, on 31 August 2011 with Marwyn Investment Management LLP, a company of which Mark Watts, non executive director of Silverdell, is a director, was classified as a related party transaction for the purposes of the AIM Rules. The independent directors, being Stuart Doughty, Sean Nutley and Ian Johnson, having consulted with finnCap, as Nominated Adviser to the Company, considered the terms of the placing to be fair and reasonable insofar as the shareholders are concerned. In providing advice to the independent directors, finnCap took into account the independent directors' commercial assessments of this related party transaction.
