                 Stock Exchange Announcement - 30 September 2004


At  the  Annual  General  Meeting of Private Investors Capital  Trust  plc  (the
"Company") held on 30 September 2004, all resolutions were duly passed.

The Company has today filed with the UK Listing Authority copies of an ordinary
resolution which was carried at the Annual General Meeting releasing the
directors from their obligation contained in Article 160.1 of the Company's
Articles of Association to convene an extraordinary general meeting of the
Company to be held on 17 December 2004.

These will be available shortly through the UK Listing Authority's Document
Viewing Facility at The Financial Services Authority, 25 The North Colonnade,
Canary Wharf, London E14 5HS.
