ISSUE OF EQUITY

Phoenix VCT plc announces that at a board meeting held on 21 September 2005,
12,390 Ordinary Shares of 10 pence each were issued and allotted to one
subscriber at a price of 113.0 pence per share for cash.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.

The issued share capital of the Company is now 11,204,532 Ordinary Shares and
5,221,188 C Shares.
