                    Orb Estates PLC ("the Company")                        
  
The Company announces that Lynch Talbot Limited ("Lynch Talbot") and Euro &
UK Property Fund LP ("Euro") have converted their convertible loans in the
Company into 9,106,090 new ordinary shares and 5,842,480 new ordinary shares
respectively. Lynch Talbot has also acquired an aggregate of 10,370,548
ordinary shares in the Company.
 
Following the conversions and the acquisition, Lynch Talbot and Euro hold an
aggregate of 27,170,228 ordinary shares in the Company, representing 68.6 per
cent of the issued share capital of the Company as enlarged by the
conversions. Pursuant to Rule 9 of the City Code on Takeovers and Mergers,
Lynch Talbot and Euro have incurred an obligation to make an offer for the
entire issued share capital of the Company at 60p per ordinary share, being
the highest price at which they acquired shares in the Company over the
previous 12 months.
