RESULTS OF THE GENERAL MEETING OF 
NOBLE INCOME & GROWTH VCT PLC
IN RELATION TO THE SCHEME OF RECONSTRUCTION

The board of directors of Noble Income & Growth VCT plc is pleased to announce that the resolution proposed at the
general meeting of the Company's shareholders today was duly passed.

Accordingly, under the scheme of reconstruction of the Company (the "Scheme"), the Company has been placed into members'
voluntary liquidation and the assets and liabilities of the Company have been transferred to Noble AIM VCT plc ("Noble
AIM") in consideration for the issue of new ordinary shares of 10 pence each in the capital of Noble AIM ("New Noble AIM
Shares").

The total number of New Noble AIM Shares to be issued to the Company's shareholders will be announced on Monday 20
October 2008.  Application has been made for all the New Noble AIM Shares issued to be admitted to the Official List and
to trading on the main market of the London Stock Exchange.  

It is expected that admission of these New Noble AIM Shares will become effective and that trading will commence at 8
a.m. on Monday 20 October 2008.

As part of the Scheme, the cancellation of the listing of the Company's ordinary shares will take place at 8 a.m. on
Monday 20 October 2008.

A copy of the resolution passed will be submitted to the UK Listing Authority and will shortly be available for
inspection at the UK Listing Authority's Document Viewing Facility which is situated at: 25 The North Colonnade, Canary
Wharf, London E14 5HS.
