                    Melorio Plc ('Melorio' or the 'Company') 
                                Issue of Equity 
The boards of Pearson and Melorio announced on 19 May 2010 that they had reached 
agreement on the terms of a recommended cash offer for the entire issued and to 
be issued ordinary share capital of Melorio to be made by Pearson (the "Offer") 
and posted the offer document to shareholders on 21 May 2010. The Offer was 225 
pence in cash for each Melorio Share and valued Melorio's issued and to be 
issued share capital at approximately GBP99.3 million. 
Under the Offer, the to be issued ordinary share capital of Melorio included 
603,878 Melorio Shares which may be issued pursuant to the 2007, HMRC Approved, 
Melorio Save as You Earn Share Option (the "SAYE Scheme"). 
 
The Company announces that it has today issued 329,568 ordinary shares pursuant 
to the SAYE Scheme. Application has been made for the shares issued to be 
admitted to trading on AIM and dealings are expected to commence on 14 July 
2010.  Following this allotment, the Company's issued ordinary share capital is 
now comprised of 40,378,880 shares.
