          Substantial Shareholding Notification


The  Company announces that it received notice yesterday,
in  accordance with the provisions of section 198 of  the
Companies  Act  1985, that CGNU plc and  certain  of  its
subsidiaries  have  an  interest in  18,548,002  ordinary
shares   of   1p   each  in  the  Company,   representing
approximately 5.796% of the issued ordinary share capital
of  the  Company, following the recent merger of CGU  plc
and Norwich Union plc.
