Transactions by persons discharging managerial responsibilities
and their connected persons in accordance with DTR 3.1.4R(1)
Invensys announces that, pursuant to the automatic vesting of
awards and exercise of options under the Invensys 2007 Long Term
Incentive Plan, the Invensys plc Deferred Share Plan and the
Invensys plc Restricted Share Plan (the "Awards"), 3,629,634
ordinary shares of 12.5 pence each (the "Shares") have been
released in such number and to such persons discharging managerial
responsibility as detailed in the table below.
The Awards have vested or been exercised in accordance with
their terms following the sanction by the High Court of Justice in
England and Wales today of the scheme of arrangement in relation to
the recommended acquisition of the entire issued and to be issued
ordinary share capital of Invensys by Schneider Electric S.A. and
its wholly owned subsidiary, Samos Acquisition Company Limited (the
"Scheme") as set out in the circular dated 10 September 2013 (the
"Scheme Document") in relation to the Scheme sent or made available
to Invensys shareholders on 12 September 2013.
The Shares will be Scheme Shares (as defined in the Scheme
Document) for the purposes of the Scheme.
