           Hyder Consulting PLC ("Hyder Consulting" or the "Company")

                     Total Voting Rights and Share Capital


Pursuant to Disclosure and Transparency Rule 5.6.1, the Company confirms that as
at 30 April 2007 the issued share capital of the Company is 35,847,114 ordinary
shares of 10 pence each. Each ordinary share carries the right to one vote and
none of the ordinary shares are held in treasury. Therefore the total number of
voting rights in the Company share capital is 35,847,114


The above number corrects an overstatement by 5,000 of the Company's issued
share capital since 22 December 2006, following an administrative error by the
Company's registrars.


The above figures may be used by shareholders as the denominator for the
calculations by which they determine if they are required to notify their
interest in, or any change to their interest in, the share capital of Hyder
Consulting under the Disclosure and Transparency Rules.
