           HYDER CONSULTING PLC ("Hyder Consulting" or the "Company")

                       ACQUISITION OF MINORITY INTEREST

HYDER CONSULTING MEP LIMITED ("MEP")

The Company's subsidiary Hyder Consulting Overseas Holdings Limited ("HCOHL") 
has acquired a further 22.5% of MEP from RI Associates Limited. Audited gross 
assets of MEP at 31 March, 2006 attributable to the interest acquired were 
#1.11 million. MEP was established to acquire the Roberts and Partners 
International business in Dubai and Manila in July 2004, with HCOHL holding 
70% of the equity. Following the acquisition, MEP is a 92.5% owned subsidiary 
of the Company. HCOHL has an option to acquire the remaining 7.5% minority 
shareholding in MEP during the 12 months commencing on 30 July 2007.
