           HYDER CONSULTING PLC ("Hyder Consulting" or the "Company")

                                  ACQUISITION

Hyder Consulting, the international design, environmental and technical
management consultancy, is pleased to announce the acquisition of a land
development consultancy business in the South East of England.

ACQUISITION OF BETTRIDGE TURNER & PARTNERS

The Company has entered into an agreement to acquire the entire issued share
capital of Livic Limited trading as Bettridge Turner & Partners, a specialist
firm of land development and structural engineers, traffic and town planners.
The initial consideration amounts to #2.55 million of which #1.75 million is
payable in cash, with #0.8 million satisfied by the issue of 315,482 Hyder
Consulting PLC shares ("the Consideration Shares").  A further payment of up to
#0.92 million is payable in cash over three years dependent on future business
performance.  The company employs a team of around 75 staff with turnover for
the year to 30 November 2005 of #4.1 million, and profit before interest and tax
of #0.3 million. The net assets acquired amount to approximately #1 million.
This acquisition will extend Hyder Consulting's capabilities in development
planning services and strengthen its private sector client base in the South
East.

APPLICATION FOR ADMISSION

Application will be made for the Consideration Shares, which rank pari passu in
all respects with the existing issued ordinary shares in the Company, to be
admitted to the Official List and to trading on the London Stock Exchange's
market for listed securities. Admission is expected to become effective on 29
March 2006.
