HODDER HEADLINE PLC - DISCLOSURE OF INTEREST PURSUANT TO SECTION 198 OF THE
COMPANIES ACT 1985

Pursuant to Section 198 of the Companies Act 1985 we are advised that WH Smith
Group PLC is interested in a total of 22,632,016 shares in Hodder Headline PLC.
Below is a copy of the Section 198 notice received from Linklaters & Paines on

198 of the Act that:

(1) This notification relates to, and the expression "share capital" used below
means, the ordinary share capital of the Company.

(2) The number of shares comprised in the share capital in which the Notifier
knsthat it was interested (for the purposes of Sections 208 and 209 of the Act)
