                  Gyrus Group PLC ("the Company" or "Gyrus")


Gyrus announces that the Open Offer to shareholders closed at 3.00 p.m. on 31
May 2001.


Of the 31,090,212 new Ordinary Shares issued pursuant to the Placing and Open
Offer, 4,357,500 new Ordinary Shares (14.0 per cent.), representing the
entitlements of certain Qualifying Shareholders, were placed firm. Of the
balance of 26,732,712 new Ordinary Shares, which were placed subject to recall
under the Open Offer, valid applications in respect of 13,630,387 (51.0 per
cent.) have been received from Qualifying Shareholders, and the remainder will
be taken up by placees.


The Open Offer remains subject to the conditions of the placing and open offer
agreements dated 4 May 2001 between WestLB Panmure Limited and Gyrus as
described in the circular dated 4 May 2001.


A tender offer for all of the outstanding shares of common stock of Somnus
Medical Technologies, Inc. was commenced on 4 May 2001 and is scheduled to
expire at 11.59 p.m., Eastern Standard Time on 4 June 2001 unless extended.
