At the Annual General Meeting to be held on 3 September 2009, it is proposed 
that the Articles of Association be amended primarily to reflect the provisions 
of the Companies Act 2006 that are due to come into force on 1 October 2009. A 
summary of the proposed changes is set out in the Annual Report and Accounts 
for the year ended 31 March 2009, a copy of which can be found at 
www.gartmoreirishgrowthfund.com or www.gartmore.com. A copy of the proposed new 
Articles has been lodged with the UK Listing Authority for publication through 
the Document Viewing Facility, which is situated at Financial Services
