   FREEPAGES GROUP PLC ("FREEPAGES") AND VNU BV ("VNU")
      RE: JOINT VENTURE NEGOTIATIONS AND DIRECTORATE


Freepages and VNU are negotiating in good faith the re-alignment
of their Joint Venture arrangements following the purchase by
VNU of World Directories.  This may result in an increase in
the equity participation by VNU in the Joint Ventures.

In order to avoid any potential conflict of interests it has
been decided by both parties that Rob van den Bergh, with
immediate effect, will resign as a non-executive Director of
Freepages.  The Board of Freepages would like to thank Rob
for the significant contribution he has made during his period
as a Director.
