         ANNOUNCEMENT FROM DIXONS GROUP PLC

As  set  out in the prospectus issued at the time of  the
initial  public offering of Freeserve, Dixons is  subject
to  undertakings which restrict its ability to dispose of
Freeserve shares until the earlier of 2 August, 2000  and
the  date of the announcement of Freeserve's results  for
the period ended 29 April, 2000*.

Further  to  the recent press speculation,  Dixons  Board
confirms that it is considering its options in respect of
its  shareholding in Freeserve.  These  may  or  may  not
include  a  sale or distribution of all or  part  of  its
holding.

* The results announcement is currently expected to be
  made on 27 June 2000.
