                            Dealings by Directors

The Company has today been informed that following the grant of probate on 1
June 2001 for the estate of Dr Peter Blackman Deceased, David Harding,
non-executive chairman, and John Westcott, non-executive director, have each
acquired a non-beneficial interest in 2,490,136 ordinary shares of 10p each
("Ordinary Shares") in the Company and 235,405 10 per cent. (net) Convertible
Redeemable Cumulative Preference Shares of #1 each in the Company
("Convertible Shares"). This is as a result of Messrs Harding and Westcott
being the trustees of certain elements of Dr Blackman's estate.


Following this, Mr Westcott is beneficially interested in 464,263 Ordinary
Shares, being 3.90 per cent. of the current issued ordinary share capital, and
51,000 Convertible Shares, being 5.87 per cent. of the current issued
preference share capital. In addition, Mr Westcott is non-beneficially
interested in 2,490,136 Ordinary Shares, being 20.93 per cent. of the current
issued ordinary share capital, and 235,405 Convertible Shares, being 27.11 per
cent. of the current issued preference share capital.


Similarly, Mr Harding is now non-beneficially interested in 4,219,045 Ordinary
Shares, being 35.47 per cent. of the current issued ordinary share capital,
and 354,719 Convertible Shares, being 40.86 per cent. of the current issued
preference share capital.
