Rule 8.4 Announcement 
 
 
Further to the Company's announcement on 23 March 2009, in relation to the terms 
of a proposal whereby DBI intends to acquire, for 50 pence in cash, the entire 
issued share capital of DGRE (which it and Delek Real Estate Limited do not, 
taken together, already own), to be effected by way of a scheme of arrangement 
between DGRE and the Scheme Shareholders under Article 125 of the Jersey Law 
(the "Proposal"), DGRE makes the following disclosure in accordance with Rule 
8.4 of the Takeover Code. 
 
 
DGRE and DBI have received an irrevocable undertaking from Spreadex Limited in 
respect of its holding of 7,885,611 DGRE Shares, representing approximately 3.0 
per cent. of the issued share capital of DGRE. The irrevocable undertaking will 
only cease to be binding on the earlier of: (1) the Scheme becoming effective; 
(2) the Scheme being withdrawn; or (3) the Scheme lapsing. 
 
 
The irrevocable undertaking commits Spreadex Limited to cast all votes (whether 
on a show of hands or a poll) in relation to its DGRE Shares at the Court 
Meeting in favour of the resolutions to approve the Scheme, or (where 
applicable), commits Spreadex Limited to procure that the registered holder of 
its DGRE Shares will, in person or by duly appointed proxy cast all votes 
(whether on a show of hands or a poll) in relation to its DGRE Shares at the 
Court Meeting in favour of the resolutions to approve the Scheme. 
 
 
Terms defined in the Scheme Document dated 24 March 2009 have the same meanings 
as in this announcement.
