Circular re Proposed Changes to the Share Capital of the Company and amendments
to the Articles of Association

The Board of Chrysalis VCT plc announces the despatch of a circular to its
shareholders convening an extraordinary general meeting to be held on 5 January
2006 to seek shareholder approval for the passing of resolutions in connection
changes to the Share Capital of the Company and amendments to the Articles of
Association.

A copy of the document has been submitted to the Financial Services Authority
