                               DIRECTOR'S DEALING

                              EXERCISE OF OPTIONS


Cosmedia Group Holdings Limited (the "Company") announces that it received
notice today that Stanley Kit Pong, Executive Chairman and a director of the
Company, has today carried out the following dealings:

(a)  exercise of options to subscribe for 391,280 ordinary shares of US$0.10 
     each ("Ordinary Shares") in the capital of the Company at a subscription 
     price of US$2.85 per Ordinary Share (the issue price on Admission); and

(b)  agreement to sell into the market 391,280 Ordinary Shares for a sale price 
     of US$3.05 per Ordinary Share.

In addition, Collins Stewart Europe Limited ("Collins Stewart"), the Company's
nominated adviser and broker, today exercised options to subscribe for 456,708
Ordinary Shares at a subscription price of US$2.85 per Ordinary Share (the issue
price at Admission) and agreed to sell such shares into the market.

At the time of the Company's admission to trading on AIM, the Company, Stanley
Kit Pong, and Collins Stewart entered into arrangements at the request of AIM
Regulation, including (i) Collins Stewart being granted an option over 1% of the
Company's issued share capital, which it agreed to exercise to meet market
demand and (ii) certain shareholders agreeing to make available Ordinary Shares,
also to meet market demand.

Following settlement of the above transactions, the percentage of the Company's
issued Ordinary Shares in public hands will increase to approximately 9.4%.

Following settlement of the above transactions, Mr. Pong will remain interested
in 26,586,570 Ordinary Shares representing 57.15% of the Company's enlarged
issued share capital.

Application has today been made for the new Ordinary Shares issued following the
exercise of the aforementioned options to be admitted to trading on AIM, which
is expected to occur by 8 March 2007.  Following the issue of these new Ordinary
Shares there will be 46,518,778 Ordinary Shares in issue.
