Further to the announcement by Wolverhampton & Dudley Breweries PLC on Thursday,
6th January 2005, that its offer for the company is unconditional in all
respects the company has accepted the resignations with immediate effect of R A
Gilchrist, L D'Arcy, N B Wimpenny, G B Reed, R J Dutton-Forshaw, D Southworth,
and W Cran. They have been replaced by Ralph Findlay, Derek Andrew, Stephen
Oliver, Paul Inglett and Alistair Darby, who have been appointed as Directors
with immediate effect. Each of the new directors is also a director of
Wolverhampton & Dudley Breweries PLC but apart from that he hereby confirms
pursuant to Listing Rule 16.4 that:

a) he has not held any directorships in any other publicly quoted company 
   at any time in the previous 5 years;

b) there are no details to be disclosed pursuant to 6 F.2 (b)to(g) of the 
   Listing Rules.
