At an Extraordinary General Meeting of the shareholders of Barclays Global 
Investors Endowment Fund II Limited held on 26 August 2009 at 11.00 a.m. the 
following Special Resolutions were passed: 
 
 
1. To approve the proposal made by the Board of Directors of the Company to 
place the Company into summary winding-up with effect from 1 September 2009 in 
accordance with the provisions of Chapter 2 of Part 21 of the Companies (Jersey) 
Law 1991, as amended. 
 
 
2. To appoint Andrew Jonathan Dann and Geraint Charles Boyens Davies of Ernst & 
Young LLP as joint liquidators of the Company to do any such thing as may be 
required of them from time to time acting in their joint capacity as liquidators 
of the Company, with power to act jointly and severally for the purpose of such 
winding-up in accordance with the provisions of Article 149 of the Companies 
(Jersey) Law 1991, as amended and with power to transfer any unclaimed assets at 
the conclusion of the winding up to HM Receiver General in Jersey.
