The Benfield Group 1998 Employee Benefit Trust (the "Trust") - Share Match Plan
2004

The executive directors of Benfield Group Limited and its subsidiaries (the
"Benfield Group Limited Directors") are required to notify the interests which
they are deemed to have in shares in Benfield Group Limited by virtue of their
status as potential beneficiaries of the Trust.

On 2 October 2006 Abacus Corporate Trustee Limited ("the Trustee"), in its
capacity as Trustee of the Trust under the Benfield Group Limited 2004 Share
Match Plan, transferred to the participants of the Share Match Plan a total of
244,493 Common Shares of 1p Each. These shares vested and were distributed on
the 30 September 2006 in accordance with the rules of the plan. Of these shares
the Trustee sold 101,895 Common shares of 1p each in Benfield Group Limited, at
a price of #3.60296 per share, on behalf of the participants.

After this movement of shares on 2 October 2006, the Trustee's shareholding in
which each of the Benfield Group Limited Directors has an interest has now
decreased by 244,493 shares to 5,133,136 shares (2.21% of issued share capital).

In addition, Dominic Christian, a director, received 953 shares under the Share
Match Plan which increased his total shareholding to 610,866 Common Shares of 1p
Each (0.26% of issued share capital).
