                        mmO2 PLC ANNOUNCES BOARD CHANGES

mmO2 plc (a wholly owned subsidiary of O2 plc) announces the following changes
to the Board of mmO2 plc, all with immediate effect (23 January 2006):

* Peter Erskine has been appointed as Chairman and Chief Executive.

* Sir David Arculus has stepped down as Chairman of the Board but will remain as 
  a Non-Executive Director, as will Andrew Sukawaty.

* The resignations of David Chance, Stephen Hodge and Patrick Lupo.

The Board of Directors of mmO2 plc now comprises:

Peter Erskine - Chairman and CEO
Sir David Arculus
David Finch
Rudi Groger
Andrew Sukawaty

and reflects the changes made to O2 plc's Board, also announced today, following
Telefonica, S.A.'s announcement that it had acquired over 75% of the voting
rights attached to O2 plc shares, and that its offer to acquire O2 plc has gone
unconditional in all respects.
