to AIM, 5,602 ordinary shares of 2p each in consideration for the surrender of
#2,801 of the Company's loan notes and #2,801 of the Ashcourt Asset Management
Ltd. loan notes.

Application for admission has been submitted and dealings are expected to
commence on 18 August 2004.
