                     WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT

                                                                   
Shareowners are referred to the cautionary announcement issued by Brait on
Monday, 6 May 2002. The Company advises that it has terminated the discussions
which gave rise to the announcement. Consequently, shareowners need no longer
exercise caution in dealing in their shares.

Brait further announces that in view of the above, the directors propose to
reschedule the Annual General Meeting of the company to Wednesday, 31 July 2002.
An Extraordinary General Meeting will be held in Luxembourg, on Tuesday, 11 June
2002 to approve the proposed new date of the Annual General Meeting. A notice in
this regard will be posted to shareowners shortly.
