       SOUTH AFRICAN GOVERNMENT APPROVAL FOR GOLD FIELDS/FRANCO-NEVADA        
             MERGER DECLINED AND FURTHER CAUTIONARY ANNOUNCEMENT              

Further to the joint announcement by Gold Fields and Franco-Nevada on 13 June
2000 regarding the proposed merger of Gold Fields and Franco-Nevada and the
subsequent cautionary announcement, shareholders are advised that the Minister
of Finance of South Africa, Mr Trevor Manuel, has informed Gold Fields that
exchange control approval for the merger, as structured and presented, has
been declined.

Gold Fields is reviewing the response and will be seeking opportunities for
further dialogue with the Government on the matter. Accordingly, shareholders
are advised to continue to exercise caution in dealing in their Gold Fields
shares until a further announcement is made.
