Award of Shares under the Executive Share Option Plan

Following shareholder approval at the AGM on 25 June 2004, it is announced that
on 5 August 2004 the following awards in respect of ordinary shares of 42.5p
each have today been made under the South Staffordshire Plc LTIP:

This represents the above Directors total holding under the Executive Share
Option Scheme.

In accordance with the plan rules, the options will be exercisable between 5
August 2007 and 5 August 2014 but it will only be possible to exercise them to
their full extent if annual growth in earnings per share of RPI + 3% is
achieved.
