AKZO NOBEL UK LIMITED - RESULT OF STOCKHOLDERS' MEETING


Akzo Nobel UK Limited (the "Company") announces that at a
meeting of the holders (the "Stockholders") of 73/4% Unsecured
Loan Stock 2000/05 (the "Loan Stock") of the Company held this
morning, an extraordinary resolution was passed by
Stockholders approving the proposed early repayment of Loan
Stock by the Company (the "Proposal").  Details of the
Proposal were set out in a circular to Stockholders dated 18
December, 1998.  Repayment cheques will be despatched to
Stockholders on Friday 15 January, 1999.  It is expected that
the listing of the Loan Stock on the London Stock Exchange
will be cancelled with effect from the close of business on
Friday 15 January, 1999.
