The directors of Topnotch announce that an Extraordinary General Meeting of the
Company (the "EGM") will be held at 3.00pm on Wednesday 10th September 2003 at
the Topnotch Health Club, Amersham Road, Chesham, Bucks, HP5 1NE in compliance
with Section 142 Companies Act 1985.


The directors of the Company are aware that the value of its net assets are less
than half of its called up share capital and, in compliance with Section 142 of
the Companies Act 1985, have called this EGM. Accordingly, the business of the
meeting will be to consider whether any, and if so what, measures should be
taken to deal with the situation.
