NOTIFICATION OF DIRECTORS SHARE TRANSACTIONS

directors of this company as follows:-


(i) Mr Tom Bartlam has sold 100,000 shares, details of which are as follows:-

71,259 of the shares sold were acquired as a result of Mr Bartlam's exercise of
share options on 9 April 2003. Following this transaction, Mr Bartlam's total
holding is 705,365 shares, representing approximately 1.20% of the total issued
share capital of Intermediate Capital Group PLC.


(ii) Mr Andrew Jackson has sold 200,000 shares, details of which are as 
follows:-

123,041 shares were sold through a connected person, R & H Trust Company 
(Guernsey) Limited. The other 76,959 shares were sold by Mr Jackson and were 
acquired as a result of his exercise of share options on 9 April 2003. Following 
this transaction, Mr Jackson's total holding is 611,066 shares, representing 
approximately 1.04% of the total issued share capital of Intermediate Capital

(iii) Mr Tom Attwood has sold 110,000 shares, details of which are as follows:-

All of the shares sold were acquired as a result of Mr Attwood's exercise of

share capital of Intermediate Capital Group PLC.


(iv) Mr Paul Piper has sold 24,000 shares, details of which are as follows:-
