FUSION OIL & GAS PLC ("Fusion")

326,417 partly paid shares in Fusion Oil & Gas NL ("FOG") paid up and
converted into ordinary shares in Fusion.

Application to the Alternative Investment Market of the London Stock Exchange
("AIM") for the admission of these additional ordinary shares

The Directors of Fusion have received notice that FIL Resources Limited a holder
of partly paid shares in FOG is paying up the balances of AUS$64,957
(approximately #26,000) due in respect of 326,417 partly paid shares in FOG.
Fusion is now obliged, as described in the Admission Document dated 22 September
2000, to acquire the shares and to issue, as consideration, fully paid ordinary
shares in Fusion.

Application is being made to AIM for the listing of the additional ordinary
shares expected on 12 December. The new ordinary shares will rank pari passu
with the existing ordinary shares in issue.


Notice has also been received that, as a result of the above transaction, Dr
Dolan, the chairman of Fusion, now holds a beneficial interest in 11,341,241
ordinary shares in Fusion representing 11.1% of the current issued share capital
and Dr Stein, the managing director of Fusion, holds a beneficial interest in
11,215,692 ordinary shares in Fusion representing 10.9% of the current issued
share capital.  FIL Resources Limited also now holds a notifiable beneficial
interest in 10,315,592 ordinary shares in Fusion representing 10.1% of the
current issues share capital.
