HOLDING IN COMPANY

The Company received notification on 19 September 2003 that, pursuant to the
recent change in the number of ordinary shares of 2.5p each ("Shares") in issue,
the interest of 1,911,428 Shares of The Royal Bank of Scotland Group plc ("RBS")
now represents approximately 4.18% of the Company's issued ordinary shares. This
is also notified on behalf of West Register (Investments) Limited.

The number of Shares in issue is currently 45,718,940.
