On May 19, 2023, Ault Alliance, Inc., a Delaware
corporation (the “Company”) issued a press release announcing a cash dividend to holders of the Series D Preferred
Stock of $0.2708333 per share. The record date for
this dividend is May 31, 2023, and the payment date is June 12, A copy of the press release is furnished herewith as Exhibit
99.1 and is incorporated by reference herein.
In accordance with General Instruction B.2 of
