Amendments to Articles of Incorporation or
Bylaws; Change in Fiscal Year.

Amendment to
Certificate of Incorporation
On July 27, 2020, the Company
filed a Certificate of Amendment (the “Certificate
Amendment”) to the Second Amended and Restated Certificate
of Incorporation of the Company reflecting the change of the
Company’s name to “CarParts.com, Inc.” The foregoing summary
description of the Certificate Amendment is qualified in its
entirety by reference to the full text of the Certificate
Amendment, which is attached hereto as Exhibit 3.1 and is
incorporated by reference herein.
Amendment to
Bylaws
On July 23, 2020, U.S. Auto Parts
Network, Inc. (the “Company”) adopted
Amendment No. 2 (the “Bylaw Amendment”)
to the Amended and Restated Bylaws of the Company to (i) reflect
the change of the Company’s name to “CarParts.com, Inc.” and (ii)
to adopt an exclusive forum provision to provide that unless the
Company consents in writing to the selection of an alternative
forum, the federal district courts of the United States shall be
the exclusive forum for the resolution of any claims under the
Securities Act of 1933, as amended. The foregoing summary
description of the Bylaw Amendment is qualified in its entirety by
reference to the full text of the Bylaw Amendment, which is
attached hereto as Exhibit 3.2 and is incorporated by reference
herein.
In connection with its name
change, the CUSIP for the Company’s common stock will change to
14427M 107.
