(1) Exempt sale pursuant to Rule 16b-3(e) promulgated under the Securities Exchange Act of 1934. Represents shares of Class A Common Stock of the Issuer sold to satisfy withholding taxes upon the vesting of 11,126 shares of restricted stock awarded under the Management Incentive Plan of the Issuer, dated as of August 9, 2017.
(2) Represents the forfeiture of performance-based restricted stock shares granted to the reporting officer pursuant to the Management Incentive Plan of the Issuer, dated as of August 9, 2017, certain shares of which were eligible to vest annually based upon set performance objectives and criteria. 2,121 shares were forfeited as a result of the Issuer failing to reach certain performance objectives.
